Terms of Service

1. Services

XXIautomate provides premium web design and development services. All projects are scoped, quoted, and agreed upon before work begins. Services may include AI-powered features (chatbots, automated content) subject to the terms outlined on our Plans page, Section 8.

2. Client Responsibilities

Clients are responsible for providing accurate project briefs, brand assets, and timely feedback. Delays in client-provided materials may affect delivery timelines. Clients are also responsible for the accuracy of content they provide, legal compliance of their business, maintaining domain registrations, and securing their own credentials.

3. Payment Terms

Payment terms are outlined in individual project agreements. A 50% deposit is required before work commences. Final payment is due upon project delivery, before the site goes live on your domain. Monthly Managed Hosting fees (from $50–$100/mo AUD depending on tier) are billed separately and are mandatory while XXIautomate manages your site; they cover hosting, infrastructure and security only. Post-launch updates, tweaks and new features are billed hourly at $150/hr AUD (no retainer). Consumer guarantees under the Australian Consumer Law apply to our services and are not excluded by these terms. See full payment terms.

4. Intellectual Property

Upon full payment, all custom code written specifically for your project is transferred to you. XXIautomate's internal component library, frameworks, and development tools remain our intellectual property — you receive a perpetual, non-exclusive licence to use these as part of your delivered project. We retain the right to showcase the work in our portfolio unless you opt out in writing before the project begins. See full IP terms.

5. Revisions

Each project includes a defined number of revision rounds as specified in the project agreement (Basic: 1, Intermediate: 2, Premium: 3). Additional revisions are billed per round. One revision round = one batch of feedback submitted together. See full revision policy.

6. Shopping Cart & Payment Processing (Intermediate & Premium only)

Shopping cart and customer payment processing functionality is included only in Intermediate and Premium tiers. Basic tier sites are brochure websites and do not include checkout, payment acceptance, or e-commerce features.

For Intermediate and Premium tiers, we integrate Stripe Checkout hosted as the default payment processor. Your customers’ card data — including card numbers, CVCs, and billing details — is transmitted directly from the customer’s browser to Stripe and never touches XXIautomate servers or your website’s servers. This means our builds operate under PCI DSS SAQ A scope, the lowest merchant compliance tier available.

You (the client) are responsible for creating your own Stripe account, completing Stripe’s identity verification (KYC), and agreeing to Stripe’s terms of service. Payouts go directly from Stripe to your nominated bank account — XXIautomate does not hold, route, or have access to your revenue.

You are solely responsible for the legality, accuracy, and tax treatment of products and services sold through your website, and for handling customer refunds, chargebacks, and disputes in line with Australian Consumer Law.

7. AI-Powered Features

Premium tier sites may include an AI chatbot powered by third-party language model providers (e.g. Google Gemini). Key terms:

8. Infrastructure, Hosting & Security

All sites we build are deployed to a VPS running Coolify (or an equivalent container platform). Depending on your plan, the VPS may be hosted on your own provider account or on a shared XXIautomate environment. Where XXIautomate manages the infrastructure, the Managed Hosting fee covers: automatic operating-system patching, firewall configuration, SSH hardening, fail2ban, daily snapshots, auto-renewing SSL certificates, and container/platform updates. Code-level updates and feature changes are out of scope for the hosting fee and are billed hourly at $150/hr AUD.

Clients are not required to administer servers, run Linux commands, manage Docker, or perform any technical hosting tasks. Incident response and disaster-recovery testing scope is set per plan tier and documented in the individual project agreement. See full hosting terms and security terms.

9. Limitation of Liability

XXIautomate's total liability for any claim is limited to the total amount paid by the client in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost revenue, lost data, or business interruption. We are not liable for third-party service outages, AI chatbot responses, security breaches caused by client actions, or regulatory non-compliance. 10. Indemnification

The client agrees to indemnify XXIautomate against claims arising from: content the client provides, products/services sold through the website, AI chatbot responses relied upon by the client's customers, the client's failure to comply with applicable laws, and unauthorised modifications to the delivered code. XXIautomate indemnifies the client against IP infringement claims for original custom code written by XXIautomate. See full indemnification terms.

11. Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement. This obligation survives termination for 2 years. Credentials shared during the project will be deleted within 14 days of request. See full confidentiality terms.

12. Warranties

XXIautomate provides a 30-day build warranty covering bugs and issues present at launch. The warranty does not cover changes made by the client or third parties, third-party service outages, or feature requests beyond the original scope. Except as expressly stated, services are provided "as is" to the maximum extent permitted by law. See full warranty terms.

13. Cancellation

Either party may terminate an agreement with written notice. Retainer cancellation requires 14 days written notice. Work completed up to the cancellation date will be billed accordingly. Your code is always yours — cancellation means we stop working, not that we take anything away. See full cancellation terms.

14. General Provisions

XXIautomate is an independent contractor, not a partner, employee, or agent. We may use subcontractors and AI-assisted tools. Neither party may assign this agreement without consent. These terms may be updated with 30 days notice. If any provision is found invalid, the rest remains in force. This agreement is governed by the laws of the ACT, Australia.
